1. Legal Entity & Regulatory Standing

The Shimulimuli Heritage Foundation (hereinafter referred to as "the Foundation" or "SHF") is officially recognized and registered as a National Non-Governmental Organization under the Non-Governmental Organizations Act, No. 24 of 2002 of the United Republic of Tanzania. The organization is cataloged under National Registration Number 00NGO/R/9952, with its official mandate enacted on 16-June-2026.

As a legally established body corporate with perpetual succession, the Foundation possesses its own common seal and holds the capacity to sue, be sued, enter contractual terms, and hold movable and immovable assets under its corporate name. All programmatic activities, resource mapping tracks, and public engagements are executed strictly according to the statutory constraints and financial reporting protocols monitored by the Registrar of Non-Governmental Organizations.

2. Intellectual Property Rights & Digital Asset Ownership

The contents, design, structure, code, systems, and archival products of this website and its associated interfaces—including but not limited to text, source code, ethnographical profiles, research databases, audio-visual recordings, maps, geographical metadata portfolios, branding assets, and trademarks—are the exclusive intellectual property of the Shimulimuli Heritage Foundation and its proprietary subsidiaries, protected under the Copyright and Neighboring Rights Act, Cap. 218 of the United Republic of Tanzania.

No user, collaborator, or external entity may copy, scrape, modify, redistribute, reverse-engineer, frame, or commercially exploit any material derived from this platform without explicit, written, and signed statutory authorization from the Chief Technology Officer (CTO) or the Executive Board of Directors. Unauthorized exploitation of any asset within this network will result in immediate, severe civil claims and criminal prosecution under the Cybercrimes Act, 2015.

3. Operational Clearances & Third-Party Actions

The Foundation often operates alongside various state agencies, academic boards, research syndicates, and field teams through formal agreements, memorandums, or service frameworks to conduct field evaluations.

Any individual participating in research data gathering, travel operations, or transactional networks under the name or branding of the Foundation must follow the explicit protocols established by the Executive Directorate. SHF assumes no liability for the independent personal conduct of field participants, third-party contractors, or external entities who execute unapproved actions outside the specific bounds of written corporate authorizations.

4. Comprehensive Limitation of Liability & Exclusion of Warranties

All information, cultural indices, educational content, and services delivered through this digital portal are structured strictly for administrative transparency and public information tracking. The Foundation provides access to these systems on an "As-Is" and "As-Available" baseline, without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, the Shimulimuli Heritage Foundation, its Board of Directors, executive officers, founders, field leads, and administrative personnel shall not be held liable for any direct, indirect, incidental, punitive, special, or consequential damages whatsoever—including but not limited to damages for loss of profits, data corruption, operational interruptions, or physical travel liabilities—arising out of or in connection with the use, performance, or inability to use this platform, or from reliance upon any materials compiled herein.

This exclusion of liability acts as a complete and permanent defense against any legal actions or claims brought against the organization, its board, or its personnel.

5. User Indemnification Mandate

By interacting with this digital architecture, participating in the Foundation’s field programs, or utilizing its asset repositories, you agree to fully indemnify, defend, and hold harmless the Shimulimuli Heritage Foundation, its board of governance, staff, agents, and representatives from and against any and all claims, lawsuits, financial losses, regulatory fines, liabilities, and legal expenses (including reasonable legal representation fees) resulting from your violation of these terms, your misuse of the platform resources, or your non-conformance with applicable national laws.

6. Transactional, Financial & E-Commerce Protocols

Any online operations, marketplace modules, digital acquisitions, or item acquisitions through the SHF Heritage Shop platform are cleared strictly via authenticated, encrypted electronic payment gateways. All programmatic fees, digital archival contributions, or logistical asset fees received via these clearings are legally designated as reinvestment capital to fund the non-profit digital archiving objectives of the Foundation. All transactional issues or disputes are subjected to strict local regulatory guidelines and specific conditions provided at checkout.

7. Severability & System Amendments

If any provision, section, or specific line within this legal instrument is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction within the United Republic of Tanzania, that invalidity shall not affect the remaining sections of this agreement, which shall remain in full force and effect.

The Foundation reserves the sole right to alter, modify, expand, or restate these constitutional parameters at any time to preserve alignment with regulatory amendments or updated NGO circulars. Continued interaction with our data systems or networks following a modification implies absolute and binding agreement to the revised conditions.
